Andrew R. Finkelstein

Andrew R. Finkelstein focuses his practice on mergers and acquisitions, public and private securities offerings, private equity and venture capital transactions and general corporate matters. Mr. Finkelstein represents clients in a variety of industries, including banking and financial services, telecommunications, technology, clean technology, manufacturing, distribution, employee outsourcing and leasing, real estate development, timeshare, health care, and Internet services.

Andrew represents both purchasers and targets in mergers, acquisitions, divestitures and leveraged buyouts. He represents issuers and investors in SEC registered public offerings of equity securities and private offerings of equity and debt securities, and routinely provides advice regarding periodic SEC reporting, compliance and corporate governance matters.

In addition, Andrew advises early stage and emerging growth companies in a variety of industries as well as venture capital funds in connection with venture capital financing transactions.

Andrew also represents real estate developers in negotiating complex joint venture agreements with real estate funds and other institutional investors.
