Christopher M. Henry

Mr. Henry has experience representing borrowers, private equity sponsors, and national and international financial institutions as lenders, administrative agents, collateral agents and arrangers in leveraged and syndicated financing transactions, including revolving, term loan, construction, reserve-based and debtor-in-possession credit facilities and leveraged and synthetic leases of real estate and equipment. He also has experience in representing companies and private equity sponsors in mergers and acquisitions in various industries, including energy, hospitality, and transportation.

Mr. Henry is a 2015 graduate of the University of Pennsylvania Law School, where he was associate editor of the University of Pennsylvania Journal of Constitutional Law, and a summa cum laude graduate of the University of Maryland.

Representative Matters

Acquisition Finance

• Represented a major international bank and its affiliates, as administrative agent, collateral agent, joint lead arranger and a lender, in an $850 million syndicated satellite procurement financing facility whereby a major commercial satellite operator agreed to acquire communications satellites from The Boeing Company.

• Represented WL Ross Holding Corp. (now trading as NYSE: NXEO), a special-purpose acquisition company (SPAC) formed by WL Ross & Co. LLC, in obtaining new term loan and asset-backed revolving credit facilities to support its $1.67 billion acquisition of Nexeo Solutions, Inc. from TPG Capital Management, L.P.

• Represented a private equity-backed oil & gas exploration and production company, in obtaining a revolving reserve-based credit facility in conjunction with its acquisition of oil and gas assets in the Permian Basin of Texas.

• Represented a private equity-sponsored oil & gas exploration and production company in obtaining a senior secured reserve-based revolving credit facility of up to $500 million in conjunction with its acquisition of oil and gas assets in West Virginia.

• Represented a major international bank and its affiliates in a $47 million synthetic lease of 90 covered hopper barges and up to seven Jones Act towboat vessels to a subsidiary of a global commodities trading corporation.

• Represented a major international bank and its affiliates in a $13 million capital lease of 59 compressed natural gas (CNG) cement mixer trucks to a major building materials company.

Real Estate Finance

• Represented a major international bank and its affiliates in a $350 million capital lease financing of sand mines and related infrastructure in Texas and Wisconsin to a wholly-owned subsidiary of a global oilfield services company.

• Represented one of the largest multifamily and HUD lenders in the United States, as lender, in a $33.4 million real estate bridge-to-HUD loan to certain affiliates of a Montreal-based real estate developer, with respect to five skilled nursing facilities in Alabama.

• Represented a major international bank and its affiliates, as administrative agent and lender, in a $33 million construction loan for a rehabilitation hospital in Henderson, Nevada.

• Represented a super-regional bank in providing $9 million in financing to an affiliate of a major Washington D.C.-based real estate developer in its acquisition of a mixed-use commercial property in Northeast Washington, D.C.

Bankruptcy Finance, Workouts and Restructurings

• Represented SandRidge Energy, Inc. (NYSE: SD), a publicly-traded oil and gas company headquartered in Oklahoma City, Oklahoma, in obtaining a new $425 million senior secured reserve-based revolving credit facility associated with its exit from Chapter 11.

• Represented Magnum Hunter Resources Corporation (now known as Blue Ridge Mountain Resources, Inc.), an independent oil & gas exploration and production company focused in West Virginia and Ohio, in several transactions associated with its debt restructuring and Chapter 11 bankruptcy, including refinancing its pre-petition secured revolving credit facility, obtaining a term loan debtor-in-possession credit facility and obtaining a new $50 million senior secured term loan credit facility associated with its exit from Chapter 11.

• Represented Midstates Petroleum Company, Inc. (NYSE: MPO), a publicly-traded oil and gas company headquartered in Tulsa, Oklahoma, in obtaining a new $170 million senior secured reserve-based revolving credit facility associated with its exit from Chapter 11.

Mergers and Acquisitions

• Represented Patriot Coal Corporation, one of the largest coal mining companies in the United States, in its sale of substantially all of its assets out of Chapter 11 to Blackhawk Mining, LLC and Virginia Conservation Legacy Fund, Inc.

• Represented a private equity-owned oil and gas company in its sale of assets in Texas and New Mexico to a subsidiary of a publicly traded oil and gas company.

• Represented an operator of timeshare properties in its $22 million sale of all equity in (and substantially all of the assets and real property of) a vacation property ownership company located in the Poconos in Pennsylvania, to affiliates of a major New York-based private equity fund.

• Represented a major life insurance company in its $270 million purchase of equity and railcar assets from affiliates of a major New York-based private equity fund.
